Terms of Service

1. Acceptance of Terms
By accessing or using the PMX platform ("Services") operated by Partnership Marketing XChange ("PMX", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services.
2. Description of Services
PMX provides a Shopify affiliate marketing platform that enables merchants to create, manage, and scale affiliate programs. Our Services include affiliate tracking software, an affiliate marketplace, commission management, fraud detection, and optional fully managed affiliate program services.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access.
4. Pricing and Payment
- DIY Software: $29/month plus a 4% service fee on all affiliate-tracked sales
- Fully Managed: $2,400/month plus a 2.5% service fee on all affiliate-tracked sales
- Enterprise: Custom pricing available upon request
Service fees are calculated on gross affiliate-attributed revenue tracked through the PMX platform. Subscriptions are billed monthly unless otherwise agreed. You may upgrade, downgrade, or cancel your plan at any time.
5. Affiliate Commissions
Merchants are solely responsible for setting commission rates and paying affiliates. PMX facilitates commission tracking and payout processing but does not guarantee affiliate performance or results. Commission disputes between merchants and affiliates should be resolved between the parties, with PMX providing data as needed.
6. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Engage in or facilitate affiliate fraud, cookie stuffing, or click manipulation
- Interfere with or disrupt the integrity of the Services
- Attempt to gain unauthorized access to other accounts or systems
- Use the Services to send unsolicited communications (spam)
- Violate any applicable laws, regulations, or third-party rights
7. Intellectual Property
PMX and its licensors retain all rights, title, and interest in the Services, including all software, designs, and content. You retain ownership of your data and content uploaded to the platform. By using the Services, you grant PMX a limited license to use your data as necessary to provide the Services.
8. Shopify Integration
PMX integrates with Shopify's platform via their API. Your use of PMX is also subject to Shopify's terms of service and API license agreement. PMX is not responsible for any changes, outages, or limitations imposed by Shopify.
9. Limitation of Liability
To the maximum extent permitted by law, PMX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, or data, arising out of or related to your use of the Services. Our total liability shall not exceed the amount you paid to PMX in the twelve months preceding the claim.
10. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. PMX does not guarantee that the Services will be uninterrupted, error-free, or that any specific results will be achieved through use of the platform.
11. Termination
Either party may terminate this agreement at any time. Upon termination, your right to access the Services will cease immediately. We will make your data available for export for 30 days following termination. Any outstanding fees remain payable upon termination.
12. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or through the platform. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved through binding arbitration.
